Become a Member of the Board of Directors 
Expectations for Members of the Board of Directors 

Board members are expected to fulfill these responsibilities and duties to carry out the purposes of the organization as spelled out in its articles of incorporation, mission statement, and strategic plan.  

1. Mission 
    a. Support the mission of Fox Valley Literacy Council (Literacy Council), as shown in its articles of incorporation, mission statement, and bylaws
    b. Demonstrate concern for our clients, volunteers and employees
    c. Demonstrate concern for the financial well-being of the Literacy Council 
    d. Ensure the organization complies with all applicable public laws and regulations
    e. Work with the Board and staff to develop and support appropriate policies and plans 
    f. Develop relationships in the Fox Valley area that will help the Literacy Council achieve its goals 

2. Board Meetings and Board Participation
    a. Prepare for and attend regular Board meetings (at least 75%) and participate actively in Board decisions 
    b. Advise the Executive Director if unable to attend a meeting
    c. Stay adequately informed about the organization
    d. Exercise independent judgement when voting
    e. Participate in at least one committee of the Board
    f. Suggest important matters for consideration by the Board
    g. Suggest potential Board nominees who can contribute through active work and thoughtful decision making
    h. Assist in performance evaluations of the Executive Director 

​3. Resource Development 
    a. Make an annual gift to the Literacy Council 
    b. Develop an understanding of the Literacy Council's financial statements and help the Board fulfill its fiduciary responsibility
    c. Participate in developing and securing funding to meet the Literacy Council's mission, plans, and budget
    d. Promote community support and involvement for the Literacy Council's fundraising events 

4. Ethical Conduct and Care 
    a. Maintain confidentiality of the Board's executive sessions   
    b. Speak for the Board or the Literacy Council only when authorized to do so
    c. Avoid conflict of interest or any appearance of conflict of interest that might embarrass the Board or the Literacy Council
    d. Disclose any possible conflicts to the Board according to the Literacy Council's Conflict of Interest policy
    e. Board members must give undivided allegiance to the organization when making decisions affecting the organization
    f. Discharge duties in good faith, with care, prudence and reason
